These Terms & Conditions ("Terms") govern your access to and use of the PartiiTrip Service. By creating an account, downloading the app, or using the Service in any way, you agree to be bound by these Terms. Please read them carefully. If you do not agree, you must not use the Service.
The Service is operated by PartiiTrip Ltd, a private limited company incorporated in England and Wales. For any queries, contact us at contact@partiitrip.com.
1. Definitions
In these Terms, the following definitions apply:
- "Service" means the PartiiTrip web application, mobile application, and all related services, features, tools, APIs, and infrastructure made available by PartiiTrip Ltd, whether accessed via a browser, native app, or any other means.
- "App" means the PartiiTrip native mobile application available on the Apple App Store and Google Play Store.
- "Account" means the user account created by an individual to access and use the Service, authenticated via one-time passcode (OTP) to the registered email address.
- "Subscription" means a paid plan that grants access to the Service, including per-trip fees and any auto-renewable subscription products offered by PartiiTrip Ltd from time to time.
- "Trip" means a group travel event created within the Service, comprising an itinerary, expense records, polls, notes, and other associated data.
- "Organiser" means a user who creates and manages a Trip within the Service, is responsible for inviting Members, and is the account holder who pays the applicable fee to activate the Trip.
- "Member" means a user who joins an existing Trip via an invite link or code provided by an Organiser, and who accesses the Service in a non-organising capacity.
- "Content" means any data, text, images, documents, expense records, notes, itinerary entries, or other material uploaded, submitted, or created by users within the Service.
- "Fees" means any and all charges payable by users to PartiiTrip Ltd for access to the Service, as set out in these Terms or as notified to users from time to time.
- "Intellectual Property Rights" means all patents, rights to inventions, copyright and related rights, moral rights, trade marks and service marks, trade names and domain names, rights in get-up and trade dress, rights in goodwill and to sue for passing off, rights in designs, database rights, rights to use and protect confidential information (including know-how and trade secrets), and all other intellectual property rights, whether registered or unregistered, and including all applications and rights to apply for or be granted renewals or extensions of such rights, now or in the future in any part of the world.
2. Acceptance of Terms
By creating an Account, downloading the App, accessing the Service via a browser, or using the Service in any way whatsoever, you agree to be legally bound by these Terms in their entirety. These Terms form a binding legal agreement between you and PartiiTrip Ltd.
If you are using the Service on behalf of a business, organisation, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" in these Terms shall refer to both you as an individual and that entity.
Users under the age of 18 may not use the Service without verifiable parental or guardian consent. By using the Service, you confirm that you are aged 18 or over, or that you have obtained and can demonstrate such consent. PartiiTrip Ltd reserves the right to request evidence of consent and to suspend or terminate accounts where eligibility cannot be confirmed.
If you do not agree to these Terms, you must not create an Account, download the App, or use the Service in any way.
3. The Service
PartiiTrip provides a group trip planning platform designed to help groups of people plan, coordinate, and enjoy shared travel experiences. Features available through the Service include, but are not limited to:
- Itinerary creation, management, and sharing
- Shared expense tracking, splitting, and settlement calculation
- Group polls and voting tools
- Trip challenges and activity suggestions
- Group notes and collaborative content
- AI-powered activity and itinerary recommendations
- Trip invite management and member coordination
PartiiTrip Ltd reserves the right to modify, suspend, or discontinue any feature or aspect of the Service at any time, with reasonable notice to users where practicable. We will endeavour to communicate significant changes via email (where held) or in-app notice at least 14 days in advance, except where changes are required for security, legal compliance, or operational reasons beyond our reasonable control.
Availability of the Service is not guaranteed at all times. PartiiTrip Ltd will use commercially reasonable efforts to maintain high uptime and reliability, but does not warrant that the Service will be uninterrupted, error-free, or continuously available. Planned maintenance will be communicated where reasonably possible.
4. Account Registration
To use the Service as an Organiser, you must create an Account by providing a valid email address and any other information reasonably requested during registration. You warrant that all information you provide is accurate, current, and complete, and you agree to update it promptly if it changes.
Only one Account is permitted per individual. Creating multiple Accounts to circumvent these Terms, exploit promotions, or for any other purpose is prohibited and may result in all associated Accounts being suspended or terminated.
You are solely responsible for all activity that occurs under your Account, including any actions taken by persons to whom you have granted access. You must keep your Account credentials secure and must not share your one-time passcode (OTP) or session tokens with any other person.
PartiiTrip Ltd uses OTP (one-time passcode) authentication delivered via email. No passwords are stored by PartiiTrip Ltd. Each login generates a fresh, time-limited OTP. This approach is designed to reduce the risk associated with password reuse and credential theft.
If you believe your Account has been compromised, accessed without authorisation, or that your email address has been used by another person, you must notify us immediately at contact@partiitrip.com. PartiiTrip Ltd shall not be liable for any loss or damage arising from your failure to keep your Account secure.
5. Subscriptions and Payment
Access to the Organiser features of the Service requires payment of the applicable Fee. The current fee structure is as follows, though PartiiTrip Ltd reserves the right to amend pricing in accordance with this clause:
- Per-trip fee: £9.99 per Trip, payable by the Organiser to activate a Trip. Members who join a Trip activated by an Organiser are always free of charge.
Payments may be processed via the following channels depending on how the Service is accessed:
- Apple App Store: In-app purchases processed by Apple Inc. under Apple's standard terms. Apple takes its platform commission from such transactions.
- Google Play Store: In-app purchases processed by Google LLC under Google's standard terms. Google takes its platform commission from such transactions.
- Stripe: Web-based payments processed by Stripe, Inc. for purchases made via the PartiiTrip website.
Where PartiiTrip Ltd offers auto-renewable subscriptions (for example, monthly or annual plans for Operators or high-volume users), such subscriptions will renew automatically at the end of each billing period unless cancelled before the renewal date. It is your responsibility to cancel before the next renewal if you do not wish to be charged.
No refunds will be issued except where required by the Consumer Rights Act 2015 or other applicable mandatory consumer protection legislation. Where digital content (such as a Trip activation) is provided and access has commenced, the digital content exemption under the Consumer Rights Act 2015 may apply to limit your right to a refund.
PartiiTrip Ltd may change its prices at any time, but will provide at least 30 days' written notice (by email or in-app notice) before any price increase takes effect. You will have the opportunity to cancel your Subscription before the new price applies. Continued use of the Service after a price change takes effect constitutes acceptance of the new price.
All prices are quoted inclusive of VAT where applicable. PartiiTrip Ltd is not responsible for any taxes, levies, or duties that may be imposed by your local jurisdiction.
6. Organiser Responsibilities
As an Organiser, you take on responsibility for the creation and management of your Trip within the Service. Specifically, you agree that:
- You are responsible for the accuracy, completeness, and legality of all Trip data, itinerary information, expense records, and other Content you enter or upload to the Service.
- You are responsible for inviting Members to your Trip in an appropriate manner, including ensuring that you have permission to share any Member's personal information (such as their name) within the group.
- You must not invite individuals to a Trip without their consent, or use the invite function to send unsolicited communications.
- You must not use the Service, or create Trips, for the purpose of commercial resale, white-labelling, or offering the Service (or any feature of it) as part of a commercial product or service to third parties, without obtaining prior written consent from PartiiTrip Ltd.
- You are responsible for managing Member access and for removing Members from your Trip if required.
PartiiTrip Ltd reserves the right to remove or restrict any Trip that is found to be in violation of these Terms.
7. Member Responsibilities
As a Member, you join a Trip via an invite link or code provided by an Organiser. By joining a Trip, you agree to the following:
- You are responsible for the accuracy of any expenses you log within the Service, including amounts, descriptions, and the identification of payers and payees.
- You acknowledge that the expense split and settlement calculations provided by the Service represent a fair suggested method of settling shared costs among the group, based on the data entered. These calculations are an organisational tool only - see Section 8 for important limitations.
- You agree that any actual money transfers between yourself and other Members are entirely your own responsibility and are conducted independently of the Service.
- You must not deliberately enter false, inflated, or fabricated expense entries with the intent to defraud or financially disadvantage other Members of the group.
- You must use the Service in accordance with these Terms, including all provisions relating to acceptable use and prohibited activities.
8. Expense Splitting and Settlement
PartiiTrip provides a calculation tool to help Organisers and Members track shared expenses and generate suggested settlement amounts. This tool is designed as an organisational aid to simplify the administration of group finances.
Important limitations: PartiiTrip Ltd is not a payment service provider, e-money institution, or regulated financial service of any kind. PartiiTrip Ltd does not hold, transfer, receive, or process money on behalf of any user. PartiiTrip Ltd is not regulated by the Financial Conduct Authority (FCA) or any other financial regulatory body.
All actual financial settlements, payments, and transfers between Members are solely the responsibility of those Members. Such payments take place entirely outside the Service, using whatever method the Members agree between themselves (for example, bank transfer, cash, or a third-party payment app).
PartiiTrip Ltd bears no liability whatsoever for:
- Disputed, incorrect, or missed settlements between Members
- Errors in expense data entered by users
- Financial losses arising from reliance on the Service's calculations
- Any failure by a Member to pay their agreed share of expenses
Users should always verify settlement calculations independently before making or requesting payments.
9. User Content
You retain full ownership of all Content you create, upload, or submit through the Service. By submitting Content, you grant PartiiTrip Ltd a limited, non-exclusive, royalty-free, worldwide licence to store, reproduce, display, and process your Content solely to the extent necessary to provide the Service to you and your Trip group. This licence terminates when you delete your Content or close your Account, subject to any retention obligations described in our Privacy Policy.
You warrant and represent that:
- You own or have the necessary rights, licences, and permissions in respect of all Content you submit;
- Your Content does not infringe the Intellectual Property Rights, privacy rights, or any other rights of any third party;
- Your Content does not contain material that is unlawful, defamatory, obscene, harmful, or otherwise in violation of these Terms.
PartiiTrip Ltd reserves the right to remove, restrict access to, or disable any Content that, in our reasonable opinion, violates these Terms or applicable law, without prior notice and without liability to you.
10. Prohibited Uses
You agree that you will not use the Service for any of the following purposes:
- Any purpose that is unlawful, fraudulent, or harmful under the laws of England and Wales or any other applicable jurisdiction
- Harassing, threatening, abusing, stalking, or intimidating any person
- Reverse engineering, decompiling, disassembling, or otherwise attempting to derive source code or underlying algorithms from the Service
- Automated scraping, data extraction, web crawling, or any other automated collection of data from the Service without our express prior written consent
- Impersonating any person or entity, or misrepresenting your identity or affiliation with any person or entity
- Deliberately entering false, inflated, or fabricated expense records with the intent to defraud or financially disadvantage other Members
- Commercial resale, sub-licensing, or white-labelling of the Service or any feature thereof without prior written consent from PartiiTrip Ltd
- Uploading, transmitting, or distributing malware, viruses, or any other harmful code
- Attempting to gain unauthorised access to any Account, system, or network associated with the Service
- Using the Service in any manner that could damage, overburden, impair, or compromise our systems or security
PartiiTrip Ltd reserves the right to investigate any suspected breach of this clause and to take appropriate action, including suspension or termination of access, reporting to law enforcement authorities, and seeking legal remedies.
11. Intellectual Property
The PartiiTrip brand, name, logo, codebase, design system, interface, copy, and all original platform content are the exclusive property of PartiiTrip Ltd and are protected by Intellectual Property Rights including copyright, trade mark, and database rights under English law and applicable international conventions.
These Terms grant you no licence to copy, reproduce, republish, upload, post, transmit, distribute, modify, translate, adapt, create derivative works from, sell, or otherwise exploit any part of the Service or its content, except as strictly necessary to use the Service for its intended purpose.
Any feedback, suggestions, or ideas you provide regarding the Service may be used by PartiiTrip Ltd without restriction or obligation to you.
Users retain ownership of their own trip data and Content as set out in Section 9. Nothing in this clause shall diminish your rights over Content you have created.
12. Data Protection
PartiiTrip Ltd is the data controller in respect of personal data processed through the Service. We are committed to handling your personal data responsibly, lawfully, and transparently in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
Full details of how we collect, use, store, and protect your personal data - including our lawful bases for processing, data retention practices, and your data subject rights - are set out in our Privacy Policy, available at partiitrip.com/privacy.html. We encourage you to read the Privacy Policy carefully.
Your rights under UK GDPR include the right to:
- Access the personal data we hold about you
- Rectify inaccurate or incomplete personal data
- Request erasure of your personal data (the "right to be forgotten"), subject to legal retention obligations
- Restrict or object to certain processing of your personal data
- Data portability where technically feasible

13. Third-Party Services
The Service is built on and integrates with a number of third-party services and infrastructure providers. These are listed below for transparency. PartiiTrip Ltd takes reasonable care in selecting reliable and reputable providers but is not responsible for failures, outages, data handling practices, or service interruptions caused by these third parties:
- Supabase: Provides database, storage, and authentication infrastructure. Data is hosted in the EU.
- OpenAI: Provides the AI models that power PartiiTrip's recommendation features. Prompts sent to OpenAI are anonymised and do not include personal identifiers.
- Resend: Provides email delivery services, including OTP authentication codes and service notifications.
- Sentry: Provides crash reporting and error monitoring. Data sent to Sentry is anonymised.
- Cloudflare: Provides hosting, content delivery network (CDN) services, and security proxy layer.
- Apple App Store: Distributes the PartiiTrip iOS app and processes in-app purchases. Apple acts as an independent controller for payment data.
- Google Play: Distributes the PartiiTrip Android app and processes in-app purchases. Google acts as an independent controller for payment data.
- Stripe: Processes web-based payments for Fees paid via the PartiiTrip website. Stripe acts as an independent controller for payment data.
Each of these providers is subject to their own terms of service and privacy policies. PartiiTrip Ltd enters into data processing agreements with providers that process personal data on our behalf, in compliance with UK GDPR.
14. Limitation of Liability
To the maximum extent permitted by applicable law, the following limitations apply to PartiiTrip Ltd's liability to you:
- The Service is provided "as is" and "as available" without any warranty, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.
- PartiiTrip Ltd is not liable for any indirect, consequential, incidental, special, exemplary, or punitive losses or damages, including but not limited to: loss of data, loss of profits or revenue, loss of anticipated savings, loss of business or goodwill, or disruption to events, travel, or social plans, however caused and whether arising under contract, tort (including negligence), or otherwise, even if PartiiTrip Ltd has been advised of the possibility of such damages.
- PartiiTrip Ltd is not liable for financial disputes, unpaid settlements, or losses arising between trip Members as a result of expense calculations or settlement suggestions generated by the Service.
- PartiiTrip Ltd is not liable for any failure, error, delay, or loss caused by third-party payment processors (Apple, Google, or Stripe), or by any other third-party service referenced in Section 13.
- PartiiTrip Ltd's maximum aggregate liability to you for all claims arising from or in connection with these Terms or your use of the Service shall not exceed the greater of: (a) the total Fees paid by you to PartiiTrip Ltd in the 12 months immediately preceding the event giving rise to the claim; or (b) £100.
Nothing in these Terms shall exclude or limit PartiiTrip Ltd's liability for: death or personal injury caused by our negligence; fraudulent misrepresentation; or any other liability that cannot lawfully be excluded or limited under English law, including rights under the Consumer Rights Act 2015 that apply to consumer users.
15. Indemnification
You agree to indemnify, defend, and hold harmless PartiiTrip Ltd and its directors, officers, employees, agents, and contractors from and against any and all claims, demands, actions, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Service (including your use as an Organiser or Member);
- Any Content you upload, submit, or make available through the Service;
- Your breach or alleged breach of these Terms; or
- Your violation of any applicable law, regulation, or third-party right.
PartiiTrip Ltd reserves the right, at your expense, to assume the exclusive defence and control of any matter for which you are required to indemnify us, and you agree to cooperate fully with our defence of any such claim.
16. Termination
PartiiTrip Ltd may suspend or immediately terminate your access to the Service, with or without notice, if:
- You commit a material breach of these Terms that is incapable of remedy, or that you fail to remedy within 7 days of being notified to do so;
- We reasonably suspect fraudulent, abusive, or harmful activity associated with your Account;
- We are required to do so by law or a regulatory authority; or
- We discontinue the Service entirely.
Termination for breach will not entitle you to any refund of Fees previously paid.
You may delete your Account at any time, either via the account management settings within the App, or by emailing contact@partiitrip.com. Upon account deletion, your personal data will be removed within 30 days of the deletion request being actioned, subject to any legal or regulatory retention obligations that may require us to retain certain records for a longer period.
The following clauses shall survive termination of these Terms for any reason and continue to bind the parties: Section 8 (Expense Splitting and Settlement), Section 9 (User Content, in respect of any licence granted prior to deletion), Section 11 (Intellectual Property), Section 14 (Limitation of Liability), Section 15 (Indemnification), and Section 18 (Governing Law).
17. Dispute Resolution
If you have a complaint or dispute arising from your use of the Service, we encourage you to contact us in the first instance at contact@partiitrip.com, providing full details of your concern. We will acknowledge your complaint promptly and endeavour to reach an informal resolution within 30 days of receipt.
If informal resolution is not achieved within 30 days, you may refer the matter to the courts of England and Wales. Where the value of your claim falls within the relevant threshold, you may be eligible to use the small claims track of the County Court, which is designed to provide an accessible and cost-effective route for resolving lower-value disputes.
To the fullest extent permitted by applicable law, you agree to waive any right to bring or participate in any class action, collective claim, or representative proceeding against PartiiTrip Ltd. Each dispute shall be resolved on an individual basis.
Nothing in this clause shall prevent either party from seeking emergency injunctive or other equitable relief from a court of competent jurisdiction where necessary to prevent irreparable harm.
18. Governing Law
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes and claims) shall be governed by and construed in accordance with the law of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation, subject to any mandatory rights you may have under consumer protection legislation applicable in your country of residence that cannot be excluded by contract.
19. Changes to These Terms
PartiiTrip Ltd may update or amend these Terms from time to time to reflect changes to the Service, changes in applicable law, or for other operational reasons. We will always update the "Last updated" date at the top of this page whenever changes are made.
Where changes are material - meaning they significantly affect your rights or obligations - we will provide at least 30 days' advance notice by email (where we hold your email address) or by a prominent notice within the App or on the website. For minor or non-material changes (such as corrections of typographical errors or clarifications that do not alter the substance of the Terms), we may update this page without prior notice.
Your continued use of the Service after the effective date of any amended Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Service and may delete your Account as described in Section 16.
The current version of these Terms is always available at partiitrip.com/terms.html. We recommend that you review this page periodically.
